1. Acceptance of Terms

Welcome to Nitid AI ("Nitid AI", "we", "us", or "our"), an AI-powered image processing tool. These Terms of Use ("Terms") form a legally binding agreement between you ("you" or "User") and us when you access or use our website (www.nitidai.com), our web application (tools.nitidai.com), and any related APIs, features, or content (collectively, the "Service"). By creating an account or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

2. Description of Service

Nitid AI provides cloud-based, AI-powered image processing tools designed primarily for e-commerce and product photography. Our core functionality generates clean, professional product images — for example, automatically removing a photo's background and replacing it with a pure white background suitable for online marketplaces. The Service uses artificial-intelligence models, accessed via our AI inference partners, to process images you upload. The specific models or providers we use may change from time to time; we do not guarantee that any particular model will remain available. We may add, modify, or discontinue features at any time.

• Image processing consumes credits from your account balance (see Section 4).
• Processing is performed asynchronously: you upload an image, we queue and process it, and you download or view the result.
• Output quality depends on the source image; we do not guarantee a specific visual result for every input.
• The Service is provided globally but may be subject to regional restrictions or unavailability in some locations.

3. Eligibility and User Accounts

You must be at least 16 years old (or the minimum legal age in your jurisdiction) to use the Service. By registering, you represent that you meet this requirement and have the legal capacity to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

• Provide accurate, current, and complete information when creating your account.
• Notify us immediately of any unauthorized use of your account or any security breach.
• You may maintain only one personal account; creating multiple accounts to circumvent limits or pricing is prohibited.
• We may require verification of your identity or email address to secure your account.

4. Credits, Plans and Payments

The Service operates on a prepaid credit system. You purchase credit packages and credits are consumed each time an image is processed. All payments are processed by our payment partner, Dodo Payments. Current prices, credit amounts, and package contents are shown on our Pricing page and may change with prior notice.

• Each successful image-generation task consumes a fixed number of credits, as displayed on the pricing page before you submit a task.
• Credits are a virtual, non-transferable balance and are not redeemable for cash. Except where required by law, purchased credits are non-refundable.
• If a processing task fails and we cannot deliver the result, the credits consumed for that task are automatically refunded to your balance; no separate request is required.
• Unused credits expire after the period disclosed at the time of purchase, after which they are forfeited without refund.
• You are responsible for any taxes, duties, or fees applicable to your purchase based on your location.
• We may offer promotional or bonus credits; such credits may have separate expiry or usage terms disclosed at the time they are granted.

5. User Content and Intellectual Property

You retain all rights to the images you upload and to the images generated for you through the Service ("User Content"). To the extent permitted by law and not prohibited by the underlying AI model's terms, we assign to you all rights, title, and interest we may have in the generated output. You grant us a limited, non-exclusive, revocable license to store, process, and transmit your User Content solely as necessary to provide and operate the Service.

• We do NOT use your uploaded or generated images to train, fine-tune, or develop our AI models or the models of any third party, without your explicit consent.
• You are solely responsible for ensuring that you have all necessary rights, licenses, and permissions for any image you upload, and that your use of the Service complies with applicable law.
• The copyright status of AI-generated content is not fully settled in all jurisdictions and may vary by location. You are responsible for determining the applicability of intellectual-property protection to your generated content and for any required disclosure that content was AI-generated.
• Our software, models, trademarks, designs, and other intellectual property remain our property or that of our licensors and are protected by applicable law.

6. Acceptable Use

You agree to use the Service lawfully and not to use it for any purpose that is illegal, harmful, or that violates the rights of others. You are solely responsible for the content you upload and the outputs you create.

• Do not upload or generate content that is unlawful, defamatory, obscene, pornographic, hateful, or that depicts non-consensual intimate imagery or child sexual abuse material (we report such material to the relevant authorities).
• Do not upload images depicting an identifiable person (including face-swaps, likeness generation, or similar) without that person's explicit consent.
• Do not upload sensitive personal data such as government identifiers (e.g., passport or driver's license numbers), financial account numbers, or health information.
• Do not infringe any third party's intellectual-property, privacy, publicity, or other rights.
• Do not attempt to reverse-engineer, decompile, or extract the Service's models, source code, or proprietary logic.
• Do not use automated scripts, bots, or other means to abuse, overload, or circumvent the Service's limits (e.g., concurrent-task or rate limits), or to resell or redistribute the Service or bulk output.
• Do not use the Service to create deceptive, fraudulent, or misleading content (including disinformation or impersonation).

7. AI-Generated Content Disclaimers

The Service uses artificial intelligence to generate and edit images. AI-generated content may not be accurate, unique, or error-free, and is provided on an "as is" basis. You acknowledge that the same or similar input may produce similar output for different users, and that outputs may contain artifacts, unintended elements, or differences from your intent.

• We do not guarantee the accuracy, quality, fitness, or suitability of any generated content for any particular purpose.
• You are solely responsible for reviewing and verifying generated content before using, publishing, or distributing it.
• Where your jurisdiction requires it (for example, under the EU AI Act or similar laws), you are responsible for disclosing that content was AI-generated and for complying with labeling or transparency obligations.

8. Third-Party Services

The Service relies on third-party providers to operate. Your use of the Service is also subject to the terms and privacy policies of those providers to the extent applicable.

• Dodo Payments — payment processing.
• Cloudflare — hosting, content delivery, object storage (R2), task queues, and security.
• Turso — database hosting.
• Our AI inference partners — AI image-generation inference.

9. Disclaimers of Warranty

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements, be available without interruption, or be secure or free of errors or viruses.

10. Limitation of Liability

To the maximum extent permitted by law, Nitid AI and its affiliates, officers, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your use of or inability to use the Service. Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the total amount you paid to us in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Nitid AI and its affiliates, officers, employees, and service providers from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your infringement of any third-party rights.

12. Suspension and Termination

We may suspend or terminate your account or access to the Service at any time, with or without notice, if you violate these Terms, engage in unlawful or abusive activity, create a security risk, or for operational or legal reasons. You may delete your account at any time from your account settings.

• Upon termination, your right to use the Service ceases and your remaining credit balance is forfeited, except where prohibited by applicable law or where termination results from our error.
• Provisions that by their nature should survive (including intellectual-property, disclaimers, limitation of liability, and indemnification) will survive termination.
• We will delete or anonymize your personal data in accordance with our Privacy Policy following account deletion.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent people's courts located in the place of the operator's domicile in the People's Republic of China. Before initiating litigation, the parties agree to attempt to resolve the dispute through good-faith negotiation first. Nothing in this section affects any non-waivable consumer rights you may have under the laws of your country of residence, including the right to bring a claim in your local jurisdiction if required by applicable law.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will notify you by email or through an in-app notice before the changes take effect, and we will update the "Last updated" date above. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.

16. Miscellaneous

These Terms constitute the entire agreement between you and Nitid AI regarding the Service and supersede all prior understandings. If any provision is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. No modification of these Terms is effective unless in writing and signed by an authorized representative. We may transfer or assign these Terms in connection with a merger, acquisition, or sale of assets or other corporate transaction; you may not assign or transfer these Terms without our prior written consent.
